Terms of Service

Grokified provides a hosted API proxy that forwards your requests to xAI’s Grok models and returns the responses. The Service is OpenAI-compatible and is accessed by directing your client’s base URL to our endpoints. We do not modify model behaviour, and the models, capabilities, and outputs are those of the upstream provider.

The Service is provided on an “as available” basis. We may add, change, or remove models and features to track the upstream provider’s offering.

You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for the accuracy of your account information and for all activity that occurs under your account.

You agree to keep your credentials confidential and to notify us promptly of any unauthorised use.

Eligible accounts receive a 50% discount on the standard list price of usage until they have saved US$5,000 (the “Discount Cap”), equivalent to your first US$10,000 of list-equivalent usage at half price. Once the Discount Cap is reached, the account receives a 3% discount on the standard list price of usage for the lifetime of the account.

• The introductory discount is calculated against the upstream provider’s published list price at the time of use.
• Usage beyond the Discount Cap is billed at the standard list price less a 3% lifetime discount.
• The introductory discount is limited to the first 20 accounts to make a first top-up. The minimum top-up is US$1.
• The Discount Cap is assessed per account or group of affiliated accounts. Creating multiple accounts to obtain additional discount is prohibited and may result in suspension and clawback.
• We may modify or withdraw the introductory discount for new sign-ups at any time; changes do not affect a benefit you have already consumed.

Grokified operates on a prepaid model: you add credit to your account and usage is deducted from your balance per token as you consume it. You authorise us to charge your designated payment method for top-ups you request and for any auto-reload you enable. All prices are stated in US dollars. DEEPORAX AI LTD is not currently VAT-registered, so no VAT is charged on your top-ups.

Late or failed payments may result in suspension of the Service. All fees are stated in US dollars unless otherwise agreed; invoices may be issued in GBP or EUR at our discretion.

Your use of the Service is subject to our Acceptable Use Policy and to the usage policies of the upstream provider. You are responsible for the content of your requests and for ensuring you have the rights necessary to submit them.

API keys are issued to you and must be kept secret. You are responsible for all usage and charges incurred under your keys, including usage resulting from a key you failed to secure. You may rotate or revoke keys at any time from your dashboard. We are not liable for losses arising from compromised credentials that were not our fault.

The models accessed through the Service are operated by xAI. Your use is additionally subject to xAI’s terms and usage policies. We are an independent reseller and proxy; we are not affiliated with, endorsed by, or sponsored by xAI. Availability, latency, model behaviour, and pricing of the underlying models are determined by the upstream provider and may change without notice.

We retain all rights in the Grokified service, brand, and software. As between you and us, you retain rights in the content you submit and the outputs you receive, subject to the upstream provider’s terms. “Grok” and related marks are trademarks of their respective owner; our use is nominative and does not imply affiliation.

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free, or that model outputs will be accurate or suitable for any purpose. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, or consequential damages, or for lost profits or data. Our total aggregate liability arising out of or relating to the Service is limited to the amounts you paid to us in the three (3) months preceding the event giving rise to the claim. Nothing limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.

You agree to indemnify and hold harmless DEEPORAX AI LTD against claims, damages, and reasonable costs arising from your use of the Service in breach of these Terms, the Acceptable Use Policy, or applicable law.

We may suspend or terminate your access if you breach these Terms, fail to pay, or use the Service in a way that risks harm to us, the upstream provider, or others. You may stop using the Service and close your account at any time. Accrued fees survive termination. Sections that by their nature should survive (including fees, disclaimers, liability, and governing law) will survive.

We may update these Terms, the Service, or pricing from time to time. Material changes will be notified by email or in-product notice before they take effect. Continued use after changes take effect constitutes acceptance.

These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction over any dispute arising out of or in connection with them, without prejudice to mandatory consumer protections available to you.
